1 Who we are and how to contact us

The QuickVox site is owned and operated by QuickVox Limited, a company registered in England and Wales under company registration number 07082194 and whose registered address is at Unit 1, Invicta Business Park Monument Way, Orbita, Ashford, United Kingdom TN24 0HB.

2 Registration

The QuickVox site is not intended for use by children under the age of 15. If you are under 18 please ensure that a responsible adult is aware that you are using the QuickVox site.

You promise that all information you provide to us is accurate, complete and not misleading. This applies to information you provide both at registration and at any other time.

You must inform us immediately if there is any change to the information you have provided to us by updating your personal details.

Upon registration, you will be asked to create a unique username and password ("ID"). You must ensure that your ID is kept private at all times and you must not share your ID with anyone.

You are responsible for all use of the QuickVox site using your ID and for preventing unauthorised use of your ID. If you believe there has been unauthorised use of your ID or if you know or suspect that someone else knows your password you must tell us immediately using the contact details in paragraph 2 above.

We may ask you to change your password. If you do not do so when requested, you may not be able to access all or certain areas of the QuickVox site or we may suspend or cancel your account.

Once you have registered on the QuickVox site you will become a "Voxling" and you will be able to:

• post statements of up to 140 characters (each a "Vox") on the QuickVox site;
• vote on Voxes posted by other Voxlings ("Private Voxes") and Voxes posted by us ("Public Voxes"); and
• submit comments on Voxes on the QuickVox site Forum (the "Forum") and the blog on the QuickVox site (the "Blog").

If you do not register you will still be able to vote on Public Voxes but you will not be able to post your own Voxes, vote on Private Voxes, submit comments on the Forum or on the Blog or take advantage of many of the other features available on the QuickVox site.

3 Usage rules

If you use the QuickVox site, you must comply with the Usage Rules.

You are responsible for your Voxes, votes, Forum posts and any other comments or materials, collectively the "User Generated Content", and for the consequences of posting the User Generated Content. You understand that uploaded Voxes will be available for viewing, voting, review and comment by other users of the QuickVox site.

Please use your discretion in disclosing personal information about yourself when using the QuickVox site.

4 Ownership of user generated content

You retain all of your ownership rights in your User Generated Content. By uploading your User Generated Content to the QuickVox site you are granting us a perpetual, royalty-free, transferable, fully sub-licensable, non-exclusive licence to reproduce, modify, prepare derivative works of, affix logos or other items to, translate, make available, distribute and allow others to use any User Generated Content you submit in whole or in part, in any form and for any purpose, including for our commercial benefit.

5 Intellectual property rights in the Quickvox site

The content of the QuickVox site other than User Generated Content (the "site Content") is protected by copyright, trade marks, database rights and other intellectual property rights belonging to us and to our licensors.

6 Personal and commercial use of the Quickvox site

You may use the QuickVox site for your own personal, non-commercial use.

If you want to use the site Content or anybody else 's User Generated Content for your business or any other commercial reason we license it to you, subject to you complying with paragraph 8 below, under the terms and conditions of the Creative Commons Licence.

If you do not agree with the terms and conditions of the Creative Commons Licence, you must not use the QuickVox site other than for your personal, non-commercial use and you may not reproduce, modify, copy, distribute or use for commercial purposes any part of the QuickVox site other than incidentally to your personal use.

7 Use of our Trade Mark

We grant you a non-transferable, non-exclusive licence to reproduce any of our trade marks including the "QuickVox" logo (together the "Trade Marks") only for the purposes of crediting QuickVox in accordance with the terms of the Creative Commons Licence. You have no rights to use the Trade Marks for any other purpose.

8 Suspension or cancellation of your registration

You can cancel your registration at any time by informing us via email using the contact details in paragraph 2 above.  If you do so you will no longer be able to use those features of the QuickVox site that require registration.

We may immediately suspend or cancel your access to and/or registration at our reasonable discretion or if you breach any of your obligations under these Terms and Conditions.

If your registration is suspended or cancelled, we reserve the right to delete or hide from view User Generated Content submitted to the QuickVox site by you.

The suspension or cancellation of your registration and your right to use the QuickVox site shall not affect either party's statutory rights or liabilities.

9 Availability of the QuickVox site

We may, at our sole discretion, restrict or reduce access to the QuickVox site to all or some users, including but not limited to restricting the time of availability or restricting access to the QuickVox site to certain computer operating systems.

We may, at our sole discretion, vary, alter or discontinue all or any aspect of the content of the QuickVox site.

10 Our responsibility to you

Although we will use reasonable skill and care in providing the QuickVox site, the content on it is generated by our users so we cannot guarantee the accuracy, completeness or quality of the content of the QuickVox site. If a fault occurs on the QuickVox site you should report it to us using the contact details provided in paragraph 2 above and we will attempt to (but cannot guarantee that we are able to) correct the fault as soon as we reasonably can.

The QuickVox site is provided to you "as is" and we do not make any legal promises regarding the accuracy, completeness, quality or up-to-date nature of the QuickVox site. Where, in our opinion, any User Generated Content breaches the Usage Rules referred to in paragraph 4 above, we may remove or edit it (without providing notice), but are not obligated to do so. You may notify us of any User Generated Content which breaches the Usage Rules by using the Report Abuse option on the QuickVox site.

If we are in breach of these Terms and Conditions, we will only be responsible for any losses that you suffer as a result to the extent that they are a foreseeable consequence to both you and us at the time you first use or register for the QuickVox site.

We shall not be responsible to you or to any third party for any breach of these Terms and Conditions caused by circumstances beyond our reasonable control. In particular, we shall not be responsible for any third party content you access within the QuickVox site. Our liability shall not in any event include business losses of any nature whatsoever.

Nothing in these Terms and Conditions shall operate to exclude or limit our liability for fraud, death or personal injury caused by our negligence or for any liability which cannot be limited or excluded by any relevant law.

11 Your responsibility to us

QuickVox offers you a platform on which to submit User Generated Content and you agree to be responsible for all damage, losses, costs or expenses suffered by us arising out of any breach by you of these Terms and Conditions. You must notify us immediately if you become aware of any misuse of the QuickVox site or the User Generated Content appearing on it at any time.

You are responsible for (and QuickVox has no responsibility to you or to any third party) for any breach of your obligations under the Terms and Conditions and the consequences of any such breach.

12 Third party websites

The QuickVox site includes links to other third party websites or materials which are beyond our control. These links are provided for your convenience only. Inclusion of links to any content outside of the QuickVox site does not imply endorsement of such content. We have no control over and are not responsible for any website or content outside of the QuickVox site and shall not be liable to you for any loss or damage that may arise from your use of them.

13 Advertising and sponsorship

Parts of the QuickVox site may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that content submitted for inclusion on the QuickVox site complies with relevant laws and codes. We will not be responsible to you for any error or inaccuracy in advertising or sponsorship material.

14 General

These Terms and Conditions are subject to English law. We will try to solve any disagreements quickly and efficiently. If you are not happy with the way we deal with any disagreement and you want to take out proceedings you must do so in England or Wales.

We make no promise that materials on the QuickVox site are appropriate or available for use in locations outside the United Kingdom, and accessing the QuickVox site from territories where its contents are illegal or unlawful is prohibited. If you choose to access the QuickVox site from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws.

You may not transfer any of your rights under these Terms and Conditions to any other person. We may transfer our rights under these Terms and Conditions to another business where we reasonably believe your rights will not be affected.

If you breach these Terms and Conditions and we choose to ignore this, we will still be entitled to use our rights and remedies at a later date or in any other situation where you breach the Terms and Conditions.

These Terms and Conditions constitute the entire agreement between you and us.
